General Counsel – Top National Insurance Broker (REMOTE)
Position Summary
The General Counsel serves as the organization’s chief legal officer and a trusted strategic advisor to the executive leadership team and Board. This executive is responsible for leading the company’s legal strategy while overseeing corporate governance, regulatory compliance, commercial transactions, litigation, employment matters, risk management, and other enterprise legal functions.
The General Counsel provides practical, business-focused legal guidance that supports organizational growth while protecting the company’s interests. This individual leads the legal function, manages outside counsel, and partners closely with business leaders across a broad range of strategic and operational initiatives.
Key Responsibilities
- Serve as a strategic legal advisor to executive leadership and the Board, providing practical counsel on legal, regulatory, operational, and business matters.
- Develop and execute the organization’s legal strategy in alignment with corporate objectives and long-term growth initiatives.
- Advise on corporate governance matters, including board governance, entity management, corporate records, and governance best practices.
- Lead the legal aspects of mergers, acquisitions, strategic investments, financing transactions, and other corporate development initiatives.
- Structure, negotiate, and oversee complex commercial transactions while balancing legal risk and business objectives.
- Oversee enterprise-wide commercial contracting, including the drafting, negotiation, and management of significant commercial agreements.
- Develop and maintain legal policies, contract templates, and internal processes to improve efficiency and mitigate risk.
- Design, implement, and oversee legal compliance programs, enterprise risk management initiatives, and internal governance processes.
- Monitor legal and regulatory developments affecting the business and advise leadership on emerging risks and compliance obligations.
- Oversee the company’s litigation portfolio, investigations, and dispute resolution strategy, including the management of outside counsel.
- Provide strategic legal guidance on employment and labor matters, including workforce issues, executive compensation, investigations, and employment agreements.
- Advise on data privacy, cybersecurity, information governance, and related regulatory matters.
- Partner cross-functionally with business leaders to identify legal risks and develop practical, commercially focused solutions.
- Lead, mentor, and develop the legal team while managing departmental priorities, budgets, and outside counsel relationships.
- Foster a collaborative, business-oriented legal function that supports the organization’s strategic objectives and operational success.
Qualifications
Education
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
Experience
- 10+ years of progressively responsible legal experience.
- Significant in-house legal leadership experience or comparable experience advising complex organizations.
- Demonstrated expertise in corporate governance, mergers and acquisitions, commercial transactions, litigation management, employment law, and regulatory compliance.
- Experience building and leading high-performing legal teams.
- Experience within a highly regulated industry is strongly preferred.
