Professional Responsibilities
- Provide practical, solution-oriented legal counsel across a broad range of insurance, corporate, commercial, regulatory, and operational matters.
- Draft, review, and negotiate commercial contracts, insurance-related agreements, and other legal documents.
- Advise business stakeholders regarding applicable insurance laws, regulations, contractual requirements, industry standards, and internal policies.
- Provide guidance on insurance licensing, regulatory compliance, and insurance distribution matters.
- Manage and resolve contract disputes, regulatory inquiries, complaints, subpoena responses, and other legal matters.
- Support litigation and other dispute resolution matters as needed.
- Conduct legal research and analysis on issues affecting the organization, including:
- Insurance regulation and licensing
- Corporate governance
- Employment matters
- Privacy and data protection
- Intellectual property
- Marketing and advertising
- Real estate
- Regulatory compliance
- Technology and AI-related legal issues
- Support employment-related matters, including reviewing restrictive covenants and employment agreements and advising on applicable state employment laws.
- Provide legal support for M&A and other strategic transactions as needed, including due diligence and transaction documentation.
- Develop and improve legal processes, templates, contract playbooks, and other resources to support the business.
- Utilize contract lifecycle management and other legal technology systems to manage agreements and legal documentation.
- Partner cross-functionally with business leadership, HR, Finance, IT, Operations, and other stakeholders to identify legal risks and develop practical solutions.
- Handle additional corporate and legal projects as needed.
Required Qualifications
- Juris Doctor (J.D.) from an ABA-accredited law school.
- Active license to practice law and admission to at least one U.S. state bar in good standing.
- 5+ years of legal experience with a strong foundation in insurance and/or general corporate and commercial law.
- Experience providing practical legal advice to business stakeholders.
- Strong legal research, writing, negotiation, and analytical skills.
- Ability to manage multiple matters independently and prioritize effectively in a fast-paced environment.
- Strong business judgment and ability to balance legal risk with commercial objectives.
Preferred Qualifications
- Previous law firm experience.
- Experience within an insurance brokerage, MGA, insurance carrier, or other insurance-related organization.
- Experience with insurance regulatory, licensing, and compliance matters.
- Experience drafting and negotiating commercial and insurance-related agreements.
- Familiarity with privacy and information security requirements, including HIPAA, GLBA, GDPR, CCPA, or similar regulations.
- Experience supporting employment, corporate governance, dispute resolution, or other generalist legal matters.
- Exposure to M&A or other strategic transactions.
