Employee Benefits Counsel (Equity Comp) – Rapidly Growing RIA (REMOTE)
Responsibilities:
– Advise on the design, implementation, and administration of employee and leadership incentive programs, including equity and equity-linked compensation arrangements.
– Support legal compliance related to grants, vesting, repurchases, forfeitures, and participant eligibility requirements.
– Provide guidance regarding securities law considerations associated with private company ownership programs.
– Draft and negotiate equity-related agreements, plan documents, subscription materials, and participant communications.
– Partner with HR, finance, tax, and executive leadership on compensation, governance, and ownership matters.
– Support strategic transactions, including acquisitions, restructurings, and financing initiatives.
– Manage outside counsel and assist in developing policies, controls, and governance processes.
– Monitor legal and regulatory developments affecting compensation and ownership programs.
Qualifications:
– 3–10 years of legal experience with meaningful exposure to equity compensation, employee ownership programs, executive compensation, or related corporate matters.
– Experience drafting and administering equity plans, award agreements, and related documentation.
– Familiarity with private company ownership structures and incentive arrangements.
– Knowledge of securities law considerations applicable to private company compensation programs.
– Experience supporting cross-functional stakeholders in a fast-paced, growth-oriented environment.
