Deputy General Counsel – Insurance Regulatory & Reinsurance (Hybrid)

Our client, a specialty insurance/reinsurance organization operating in a highly regulated segment of the industry, is seeking a Deputy General Counsel to lead legal and regulatory strategy across its U.S. insurance and reinsurance operations. This individual will serve as a key legal advisor to senior leadership, working closely with business, operational, and finance teams on regulatory, transactional, and risk-transfer matters.

Client Profile:

• Specialty insurance/reinsurance organization
• U.S. domestic operations subject to multi-state insurance regulatory oversight
• Highly regulated industry segment with complex holding company and reinsurance structures
• Hybrid work arrangement

Responsibilities:

• Provide legal counsel on U.S. insurance regulatory matters affecting the company’s domestic operations, with a particular focus on insurance and reinsurance
• Interface directly with state insurance regulators on matters including licensing, examinations, regulatory approvals, filings, and ongoing regulatory oversight
• Draft, review, and negotiate reinsurance agreements and other complex risk-transfer arrangements
• Advise on and negotiate commercial and service agreements with business partners, financial institutions, and other counterparties
• Partner with business and operational teams to develop practical, compliant solutions that support strategic and commercial objectives
• Manage and coordinate outside counsel as needed
• Monitor evolving insurance laws, regulations, and legislative developments and advise senior leadership on emerging legal and regulatory risks
• Participate in relevant industry associations and regulatory working groups

Qualifications:

1. J.D. from an accredited law school
2. Active license to practice law in at least one U.S. jurisdiction
3. 10+ years of U.S. insurance regulatory and transactional legal experience
4. Significant experience with complex insurance and reinsurance structures and transactions
5. Strong experience drafting, reviewing, and negotiating insurance and reinsurance agreements
6. Experience advising on intercompany arrangements, dividends and distributions, subsidiary and affiliate investments, and related regulatory approvals
7. Experience with insurance policy and rate filings
8. Demonstrated experience working directly with state insurance regulators on licensing, examinations, filings, approvals, and other regulatory matters
9. Broad knowledge of U.S. insurance laws, regulations, and licensing requirements
10. Familiarity with insurance holding company laws and related regulatory filings, including change-of-control transactions, dividend requests, and reinsurance approvals
11. Working knowledge of statutory accounting principles (SAP) and the financial aspects of insurance operations
12. Strong communication and collaboration skills, with the ability to work effectively across multiple business functions
13. Business-oriented approach with the ability to provide practical, commercially minded legal advice

Preferred Qualifications:

• Experience working with state departments of insurance
• Financial, accounting, or insurance finance experience, or demonstrated ability to work closely with finance and accounting teams
• Familiarity with the U.S. housing finance or mortgage ecosystem
• Experience with federal and state consumer protection or mortgage-related regulations
• Experience with a highly regulated insurance carrier, reinsurer, mortgage insurer, or other specialty insurance organization
